ERIKS ACQUIRES BUSINESS ACTIVITIES OF SODECO ARMATUREN GMBH IN

Yesterday ERIKS concluded an agreement with the owners of the Sodeco group in Belgium regarding the acquisition of the German business activities of the Sodeco subsidiary Sodeco Armaturen GmbH in Cologne.
The acquisition was carried out by the ERIKS Core Competence Centre for fittings and actuators in Germany AMG Pesch GmbH in Cologne which itself was acquired by ERIKS at the beginning of 2011.
AMG Pesch GmbH is expanding its German supply and delivery offerings with this acquisition of the
business activities of Sodeco. As a result, AMG Pesch will become an authorised distribution partner
of the JC (ball valves) and TTV (butterfly valves) brands in Germany. Employees of the former Sodeco
Armaturen GmbH will be fully integrated into the organisation of AMG Pesch GmbH in Cologne. AMG
Pesch GmbH will then be supported by a reliable team of around 90 employees, wide-ranging
know-how, many years of experience, a mature and extensive product range and the latest in the field
of valve technology. These factors, in combination with a well-stocked depot, make the company one
of Germany?s leading providers in this industry.
The activities of AMG Pesch comprise the construction, design, manufacture, marketing and sale of
high-quality actuators, special fittings, standard fittings and assemblies in the fields of valve and flow
technology. The company?s customers are original equipment manufacturers (OEM) and end users,
particularly in the chemicals, energy, pharmaceuticals, mechanical engineering, food technology and
pump and plant construction market segments.
This acquisition represents a continuation of ERIKS Germany?s strategy of consistently strengthening
and expanding its market position in the area of valve and flow technology.

NEW BRANCHES POZNAN AND GDYNIA

The ERIKS group has made a further step to strengthen its activities in Poland.
Today the contract has been signed to acquire the activities of

- TIM Sp.j.w. with 3 branches in the industrial region of Poznan
- Hydro-met s.c., based in Gdynia

with effect from 1 April 2008.

The commercial activities of TIM and Hydro-met comprise the marketing and sales of:

- sealing components 80%
- mechanical power transmissions 10%
- maintenance products 10%

to original equipment manufacturers (OEM) as well as to the industrial maintenance market (MRO).
With 18 employees, the companies achieve total annual sales of PLN 6.5 million (approx. EUR 1.8 million).

This acquisition is fully in line with the ERIKS strategy to expand its activities in the growing industrial regions in Poland and to further strengthen its leading market position in Poland for sealing elements.
The operations of both TIM and Hydro-met will be commercially and organisationally integrated as service centres into the existing network of Passerotti sp.z.o.o. as from 1 April 2008.

The acquisitions will contribute immediately to the result.
The funds required for these acquisitions will be fully financed from the company’s own resources.

ERIKS EXPANDS ITS ACTIVITIES IN GERMANY

The ERIKS group has made a further step to strengthen its activities in Germany.
All shares of Schmitztechnik GmbH in Mönchengladbach have been acquired with retroactive effect from 1 January 2008.

The activities of Schmitztechnik GmbH comprise the marketing, sales and especially the customising of high-quality plastics and rubber components. With 15 employees, the company achieves annual sales of € 5.5 million. Schmitztechnik GmbH serves as well original equipment manufacturers (OEM) as the industrial maintenance market (MRO) mainly in the industrial sectors of food, pharma, special mechanical engineering and energy.

ISO 9001:2000 Certificate

It is a pleasure for Passerotti to inform that on 13 of July 2006 Passerotti was found to conform to the quality management system standard: ISO 9001:2000. The certificate is valid for the following product or service ranges: distribution of industrial seals and supplementary products related to power transmission and sealing technology. Advisory on assort of sealing products and on structure of sealing nodes.

The company celebrated that fact in Kozubnik near Miedzybrodzie Bielskie.
The party began with Paintball game, which took place in the former hotel in Kozubnik.

On 23-25.11.2005 in Hamburg SIMRIT Preferred Distributor Conference had place. There were 37 companies from all over the Europe invited. We were the only one from the Middle Europe. The talks concerned the new distribution strategy, which is going to be used by SIMRIT in years 2006 - 2009. We were pleased to hear the following lectures:(wiecej....)
